Biography

Milinda Yimesghen is an associate in Baker McKenzie's North American Transactional Practice Group in Toronto. Milinda joined the Firm as a summer student in 2021 and completed her articles in 2023.

Practice Focus

Milinda maintains a general corporate law practice with a focus on cross-border mergers and acquisitions, capital markets transactions, corporate reorganizations, corporate governance and securities law matters. Milinda regularly advises private and public companies in various industries, including healthcare and life sciences, technology, gaming and natural resources/mining.

Representative Legal Matters

  • Advised Obrascón Huarte Lain in connection with CAD 81.7 million divestiture of its 25% stake in the Centre Hospitalier de L'Université de Montréal (CHUM) public-private partnership (PPP) project to John Laing Group.
  • Advised a multinational food & beverage producer in connection with CAD 65 million Canadian credit facilities.
  • Represented key shareholders of Partners Value Investments LP and Partners Limited in connection with Holdco Alternative restructurings for serial reorganizations completed via statutory plan of arrangement.
  • Advised Bloom Burton in USD 55 million public offering of pre-funded warrants and common shares of Satellos Bioscience Inc.
  • Advised Bloom Burton in various private placement offerings, including USD 7.7 million subscription receipts offering of Conavi Medical Inc. in connection with the reverse-takeover of Titan Medical Inc.
  • Advised iA Capital Markets in CAD 4 million private placement offering of convertible debentures of LSL Pharma Group.
  • Advised Beacon Securities Limited in connection with CAD 4 million private placement offering of flow-through units of Angus Gold Inc. 
  • Represented AFRY Group Finland OY, a leading global European engineering, design, and advisory services company on its CAD 30 million acquisition of KSH Solutions Inc., a Montréal-based consulting, engineering, and EPC/EPCM services company.
