Biography
Jerald Wong is a senior associate in Baker McKenzie’s Hong Kong office and a member of the Firm’s Dispute Resolution Group. Qualified in Hong Kong, Jerald focuses on complex litigations and arbitrations. Before joining Baker McKenzie, he worked in the projects and construction team of another international law firm.
Practice Focus
With over ten years of experience in contentious matters, Jerald has advised client on numerous complex and high-stakes cross-border litigations and arbitrations involving commercial, construction, IP, M&A, TMT, JV and shareholders disputes. He has appeared as advocate and counsel in arbitrations under the CIETAC, HKIAC, ICC, SIAC and UNCITRAL Rules, subject to a variety of governing laws.
Representative Legal Matters
- Acted for a Chinese SOE in an arbitration arising out of an automotive joint venture in China. Successfully defended a RMB 10 billion claim in the substantive arbitration, obtained favourable costs order and discharged an anti-suit injunction obtained by the counterparty in related Hong Kong court proceedings.
- Acted for a Japanese listed company in an ICC arbitration arising from the acquisition of a business in China. The dispute concerned misrepresentation by the seller and the interpretation of the material adverse change clause in the sale and purchase agreement. Successfully obtained a declaration from the Tribunal that the sellers breached the representations and warranties in the sale and purchase agreement.
- Acted for a Chinese company in a HKIAC arbitration under the UNCITRAL Arbitration Rules. The dispute concerned the interpretation of a license agreement and involved technical issues of computer processor technology. Prevailed on the outstanding royalties claim and secured an interim award ordering respondent to deposit the royalties with HKIAC.
- Acted for a local developer in a series of arbitrations and litigations against the main contractor and the architect concerning an alteration and addition project. Negotiated a favourable settlement with the main contractor and obtained a favourable arbitral award against the architect.
- Acted for a financial adviser in an arbitration under the HKIAC Administered Arbitration Rules against a start-up company for service fees in the Series B round of financing. Negotiated a favourable settlement.
- Acted for a leading Chinese technology company in a series of cross-border litigations and arbitrations that involved obtaining an asset preservation order from the PRC court in aid of the Hong Kong arbitration.
- Advised an international entertainment company in disputes related to its various construction projects including pre- and post-completion disputes with the contractors.
