Biography

Juan David is a Transactional Tax Partner and Wealth Management Practice Group Leader at Baker McKenzie Colombia.

As a leading transactional tax practitioner, he has actively advised numerous public and private companies, as well as private equity and venture capital firms on multijurisdictional tax-related aspects of investment, project finance, mergers, acquisitions and disposition of business interests and corporate reorganizations.

He also works with high-net-worth individuals on private wealth management, tax-efficient estate planning strategies and cross-border asset-protection structures.

Juan's practice focuses on International Tax, Transactional Tax, Merger and Acquisition Tax, Taxation of Private Equity and Venture Capital, Taxation of Digital Economy, Taxation of Compensation & Benefits, and Wealth Management for private clients.

Representative Legal Matters

  • Advised Odinsa (Grupo Argos concessions company) on the cross-border tax planning structure of the Private Equity Fund investment platform to be established with Macquarie Infrastructure Partners V (MIP V), an Americas-focused, unlisted infrastructure fund managed by Macquarie Asset Management (MAM), which will manage Odinsa's current road assets in Colombia: Pacífico 2, Túnel Aburrá Oriente, Autopistas del Café and Malla Vial del Meta, with a consolidated valuation of COP 4.3 trillion.
  • Advised Canada-based USD 171.3 billion of managed assets British Columbia Investment Corporation (BCI) on the tax structure and financial model to indirectly sell strategic energy asset in Colombia and its affiliated companies in LatAm. 
  • Advised United Health Group (UNH - NYSE) on financial and tax matters related to the USD 254 million acquisition of leading medical insurance company Colmedica and Clinica del Country operation. Also assisted UNH affiliated company Optum Global Services (India - U.S.) entering Colombian - LatAm markets setting up BPOs and innovation for medical services facilities with a USD 350 million - CAPEX investment and projected generation of 5,000+ direct and indirect jobs. 
  • Assisted on-demand delivery unicorn LatAm-expanded Rappi on tax matters, including, but not limited to, aspects related to the up to USD 1 billion investment from SoftBank into the company and its corporate reorganization in LatAm. 
  • Advised Northland Power (NPI - TSX) on the USD 720 million acquisition of electric energy generator EBSA. 
  • Advised Inveravante (Spain) on the sale of the issued and outstanding shares of Vetra Southeast S.L.U. ("Vetra Southeast"), together with Vetra Exploracion y Produccion Colombia S.A.S.'s 50% working interest in PUT-8 and 100% working interest in LLA-5 and its entire interest in Suroriente to Gran Tierra Energy subsidiaries, claiming tax reliefs under a complex interpretation of the Colombia-Spain Double Tax Treaty applicable to a partial corporate liquidation and indirect disposal of the assets to be deemed located in Colombia.  
  • Advised Nexus Group in the tax planning structure for the acquisition of a controlling stake in the plastic bottle manufacturer San Miguel Industrias.
  • Assisted Spain-based Bergé & Co in tax matter as to inbound investment in multi-million dollars logistic facilities in Colombia.
  • Advised Lazard Colombia S.A.S. on the tax aspects of the COP 4.7 billion internally generated intangible asset disposal of Cafesalud to Medimas S.A.S.
  • Advised ICI Inversiones & Construcciones Industrializadas S.A.S on a complex tax planning structure of a major real estate development in Colombia through a cross-border private equity fund worth COP 1.2 billion on gross sales.
