Biography

Pedro is a mid-level associate in Baker McKenzie's Banking & Finance Practice Group in Mexico.

Prior joining the Firm, Pedro worked in the Energy & Infrastructure Practice, where he acquired experience on project finance and the development of infrastructure projects in Mexico.

Practice Focus

Pedro focuses his practice on Banking & Finance and Corporate Law. He regularly advises Mexican and foreign companies and banks on transactional matters, including cross-border transactions, implementing and structuring guarantees, loans and their security interest documents.

Representative Legal Matters

  • Represented a Mexican company on the structuring of a facility loan of up to USD 20 million for the development and construction of a hotel in Cancún, as well as the granting of several guarantees in Mexico.
  • Represented Banco Nacional de Obras y Servicios Públicos in a secured USD 2 billion financing for the development and construction of toll-roads and highways in Mexico. Advised Banco Davivienda, S.A. in the financing of the acquisition of Confipetrol S.A.S. by a Mexican company.
  • Advised Energía Renovable de la Península, a Dragados, Envision Energy and Vive Energía SPV, in a refinancing deal of USD 88,880,000 through the issuance and sale of 6.89% Senior Secured Notes payable on June 30, 2039.
  • Advised Global AMMI, a Milenio Capital affiliate focused in the production of non-GMO corn and sustainable plastic packaging, in the acquisition of FEMSA's plastics solutions operations, for a total amount of MXN 3,165 million, on a cash-free, debt-free basis.
  • Advised Brenntag, the leading chemicals and ingredients distributor in the acquisition of Quimica Delta for a total amount of USD 235 million, a Mexican-based distributor of chemicals operating a last mile service operation network with access to tollgates in the central area of the country, which also has a long history in this area and longstanding relationships with supply partners.
  • Participated in the placement and issuance of energy and infrastructure investment trust bonds (CBFE's) of a highway project concessionaire.
  • Advised a Mexican company on the structuring of a syndicated loan granted abroad, as well as the granting of several guarantees in Mexico.
  • Represented a Mexican company on the structuring of a facility loan of up to USD 20 million for the development and construction of a hotel in Cancún, as well as the granting of several guarantees in Mexico.
  • Represented a Mexican public banking institution in a secured USD 2 billion financing for the development and construction of toll-roads and highways in Mexico.
  • Advised a foreign bank in the negotiation of the extension of a credit facility, as well as the granting of guarantees on inventories of the borrower in Mexico.
  • Advised a Mexican company in the execution, development and construction of an oil storage terminal in Ensenada, Baja California.
  • Advised a Mexican company in the execution, development and construction of an oil storage terminal in Lázaro Cárdenas, Michoacán.
  • Advised a Mexican company in the execution, development and construction of a transloading terminal in Vallejo, Mexico City.
  • Advised a Mexican company in the execution, development and construction of a transloading terminal in Hermosillo, Sonora.
  • Participated in the negotiation and closing of a strategic alliance agreement with Cemex, S.A.B. de C.V. for the development of oil storage and/or transloading projects in multiple locations in Mexico.
