Practice Focus
Lorenzo's practice mainly focuses on mergers and acquisitions, financial transactions and capital markets. He has advised clients on a wide range of corporate and transactional matters. Lorenzo's experience encompasses a full spectrum of complex commercial transactions, including mergers and acquisitions, divestitures, public offerings, investment partnerships formation, and joint ventures.
Additionally, Lorenzo has negotiated and structured private equity and venture capital financing projects. He has provided advice on complex commercial transactions such as divestitures, Mexican and US-registered public offerings, offerings under Rule 144A private placement offerings outside of the US under Regulation S, exchange offers, debt tenders, and consent solicitations, among others.

Advised Iberdrola on the sale of more than 8,400 MW of their combined cycle gas operations in Mexico for approximately USD 6 billion to a private fund.

Advised AMMI (Millfoods), an affiliate of Milenio Capital, in the acquisition of FEMSA, for a total amount of MXN 3.2 billion and free of debt.

Advised Engie on the closing of the first stage of financing for the Mayakan Gas Pipeline, for USD 2.5 billion in senior debt and a USD 300 million VAT line, in a strategic project for the current national energy landscape and key to the development of the Yucatán Peninsula.

Assisted Wingate (Inspired) with the merger of both acquired entities involving the Wingate School (Wingate School, S.C. and Inmobiliaria Wingate, S.A.P.I. de C.V.)

Advised Peninsula Wind Holding S.L. (through a Mexican SPV) in negotiating a financing of up to USD 116 million, granted by the New York office of Crédit Agricole Corporate & Investment Bank and Natixis.

Advised Betterware on the purchase, sale, and subscription of shares, followed by a merger with a SPAC created by DD3. This transaction involved approximately 15% of Betterware's capital stock, resulting in Betterware being listed on NASDAQ.

Represented ED&F Man in the sale of two sugar mills to Zucarmex and Pantaleón.

Led negotiations, participated in management and investor meetings, drafted structured investment vehicle and first ever credit facility to be granted by a Mexican development bank (Sociedad Hipotecaria Federal) in favor of unspecified homebuilders in Mexico focused on renting apartments (as opposed to building residences for sale).
