Biography

Andrés Ramón Rodríguez-Gómez joined Baker McKenzie in 2023 as a senior associate in the energy, mining and infrastructure team. Previously, he worked as in-house counsel at Ecopetrol S.A. (Colombia’s NOC and one of its biggest companies), where for six years he was part of the legal team responsible for various transactions in the energy sector, not only in Colombia, but in Latin America and the United States. His latest experience has focused on leading the development of hydrogen projects, as well as different clean energy projects.

Before joining Baker McKenzie, Andrés Ramón also worked in practices associated with energy and infrastructure law, in leading firms both in Colombia and the United States. Andrés Ramón has been admitted to practice law in Colombia since 2011.

Currently, Andrés Ramón is also a professor at the School of Law at the Pontificia Universidad Javeriana de Colombia.

Practice Focus

With more than 12 years, Andrés Ramón’s practice includes representing developers of and investors and lenders to infrastructure and other energy-related projects, including O&G, mining, solar, wind, hydrogen, and pipeline projects. Aside from Colombia, he has experience in the United States and Latin America. He represents both sellers and purchasers of ownership interests in power projects and energy related facilities.

Recently, he has focused his practice in the development of projects associated with clean energies, highlighting hydrogen projects, as solar and windfarms. However, his experience in the energy sector covers M&A transactions (Advent-Ocensa, Ecopetrol-ISA), Project Finance (Oleoducto Bicentenario de Colombia, KGHM in Chile), joint ventures (Ecopetrol – OXY, in the US, Hydrogen Projects in Colombia), advising various national and international companies in the negotiation of different commercial and infrastructure agreements; and international litigation (Reficar vs. CB&I ).

Representative Legal Matters

  • Represented Ecopetrol (NYSE: EC), the leading oil Company in Colombia, in the purchase of 51,4% shares of Interconexión Eléctrica ISA (the largest electric energy supplier on Colombia and with presence in several Latin American countries) through the execution of an inter-administrative share purchase agreement with the Ministry of Finance and Public Credit in Colombia. This was the largest transaction in Colombia for 2021 for an amount of COP 14,236,814,025,000 (approximately USD 3.6 billion) The acquisition was nominated to the Latin Lawyer's M&A Deal of the Year Award (2021).

  • Represented Ecopetrol S.A. in the incorporation of two trading companies, in Singapore, and in the US.

  • Represented Ecopetrol S.A. (NYSE: EC) in the negotiation together with Occidental Petroleum Corp. (NYSE: OXY) a joint venture for the development of unconventional fields in approximately 97,000 acres of the Permian Basin in the State of Texas, USA.

  • Represented Ecopetrol S.A. (NYSE: EC) , in the sale of 50% of Ecopetrol's shareholding in the OIG Group.

  • Represented EPM in the $1B financing of the construction of the Ituango Hydroelectric Project in Medellín, Colombia. Financing provided by IIC, IDB and China Co-financing Fund for Latin America and the Caribbean. This project was nominated for LatinFinance’s 2019 "Project & Infrastructure Finance Awards"

  • Represented a group of investors led by Advent International Corporation in the acquisition of approximately 22% of the shares of Oleoducto Central S.A. Ocensa is the operator of the largest oil pipeline in Colombia.

  • Represented a Koch Companies’ affiliate in the development of an infrastructure project at the Cartagena Refinery.

  • Represented different commodity traders in the negotiation of contracts for the purchase, sale and transportation of oil and byproducts, in Colombia.
