Biography

Sofía Morán has a solid industry expertise, with over four years of experience advising companies in cross-border transactions involving energy and infrastructure projects, mergers and acquisition, project development including regulatory and finance matters, as well as in government contracting. She focuses her practice in the energy and infrastructure sector, as well as in the real estate matters that involves the development of major projects. Sofia has gained experience in mergers and acquisitions, as well as in the development and finance of major projects: these include oil and gas, petrochemicals, power, mining and infrastructure projects.

Practice Focus

Sofia frequently advises the development, construction, operation and maintenance of energy and infrastructure projects, and provides legal advice in regulatory issues in Mexico. Sofia also has provided legal advice in connection with real estate and infrastructure due diligence for several companies, including title search reports, land use and zoning permitting, agrarian advice and other activities related to the development, acquisition, sale or lease of real estate for major projects.

Representative Legal Matters

  • Advised and represented foreign clients to develop and operate power, oil and gas and petrochemicals projects in Mexico.
  • Advised as secondment (2022-2023) to BP Mexico over the regulatory overview of the oil refined fuels market in Mexico and process to secure permits for importation, storage, distribution, and trading of gasoline, diesel, jet fuel and ethanol in Mexico, including advice in quality specifications.
  • Represented clients such as energy generators, energy traders and end users in the connection and/or interconnection process, before the National Energy Control Center, as well as in the process of purchasing clean energy certificates, power capacity and financial transmission rights.
  • Advised and represented Mexican and foreign clients in proceedings before Mexican authorities, such as the Ministry of Energy, the Energy Regulatory Commission, the National Energy Control Center and the National Hydrocarbons Commission.
  • Represented clients in the draft and negotiation of power agreements, as power generators, power traders and final users.
  • Assisted with the review of EPC, O&M and project contracts including project finance documents for clients that are investing in those infrastructure projects, or that are directly participating in the construction and operation of such projects.
  • Participated in a matter related to a major renewable energy company.
