• Advised one of Thailand’s most valuable startups and the leading e-Commerce platform with the acquisition of all entire issued shares in a prominent Thai point-of-sale (POS) system software for the food and beverage industry.
• Advised a US-based private equity firm in the acquisition of global mobility tax and immigration service business from one of the biggest audit and financial services firms in the world, including shareholding structures and joint venture and shareholders arrangements.
• Advised a US-based private equity firm in an acquisition and carve-out transaction of applied, food and enterprise services businesses of a discovery & analytical segment of a leading global corporation.
• Advised a Thai multinational conglomerate and one of the biggest retailers in Thailand, in the establishment of THB 10 billion baht private equity fund targeting hospitality and real estate investments in Thailand and across Southeast Asia, and the subsequent strategic real estate investments.
• Represented a Thai major power conglomerate in its expansion into the healthcare business through an acquisition of shares in a group of four companies in the pharmaceutical industry of which the main businesses include wholesale of drugs, manufacture, and sale of drugs, manufacture, and sale of food supplements, cosmetics, and medical devices and conduct of bioequivalence studies.
• Represented a UK life insurance operator with their entry into Thailand's asset management market, via the acquisition of 65% of total issued shares in an asset management company from a Thai financial institution and advised on distribution and post-merger integration matters.
• Advised one of the biggest Thai retailers on the intended acquisition of a large supermarket chain for its Thailand and Malaysia business comprising about 2,000 stores. The deal was carried out via a competitive bidding in what has become one of Asia's largest acquisitions in 2020.
• Represented a leading Thai media operator in the disposal of shares and termination of joint venture arrangements in an entertainment and media production, including the assignment and transfer of trademarks and rights in television programs.
• Represented an NYSE-listed multinational chemical companies in relation to merger, spin-off, application for investment promotion and integration of their agricultural, material sciences and specialty products businesses in Thailand.
• Advised clients in the establishment of the first publicly listed Real Estate Investment Trust (REIT), the first offshore hospitality REIT and the first energy-related infrastructure fund in Thailand.
