Biography

Rubí Gómez Lara has been a member of the Mergers & Acquisitions Group (now Transactional Group) in the Firm's Juarez office since 2012. Her practice covers general corporate law such as the incorporation, secretarial maintenance and liquidation of commercial companies, mergers and acquisitions, corporate restructuring, contracts, due diligence procedures, and advice on foreign investment projects in Mexico. Further, Rubi has been involved in managing notarial procedures such as the granting of public instruments, mortgages, and handling procedures with Public Registry of Property and Public Registry of Commerce.

Practice Focus

Rubi routinely advises clients on the incorporation and corporate maintenance of Mexican legal entities (e.g. drafting of corporate by-laws, formalizations before Mexican Notary Public, preparation and filing of notices before Mexican authorities such as the National Registry of Foreign Investments, Tax Administration Service, Ministry of Economy, Ministry of Communication and Transportation, and Mexican Social Security Institute, drafting of meeting minutes and implementation); spin-offs; conversions; joint ventures; mergers and acquisitions (e.g. due diligence, preparation, negotiation, and closing of related documents and agreements); corporate restructurings; drafting and implementation of stock purchase agreements; dissolution and liquidation of Mexican legal entities; and drafting and negotiation of contracts.

Representative Legal Matters

  • Participated in a Secondment advising to a client pertaining to the automotive industry on the preparation, negotiation, and closing of Non-Production Procurement, lease, purchase and sale agreements.
  • Advised several clients in the incorporation, maintenance, dissolution, and liquidation of Mexican legal entities.
  • Participated in the restructuring of several companies in Mexico as part of international transactions.
  • Participated in the drafting of several services agreements, including those after the labor reform (REPSE).
  • Participated in the preparation and review of public instruments before Notary Public for the formalization of several documents related to corporate transactions.
