Biography

Andrew is an Australian-qualified senior associate in Baker McKenzie's Global Energy, Mining and Infrastructure group based in London.

Andrew specialises in advising clients on their energy transition transactions, with a focus on acquisitions and divestments of, and joint ventures in, renewable energy, petrochemicals, critical minerals and infrastructure assets and businesses.

Practice Focus

Andrew advises clients on transactions across the full spectrum of the energy transition and power and commodities value chains. He acts for both financial sponsors and strategic investors on acquisitions and divestments of portfolios of solar and wind renewable generation assets, a range of clients investing in new low-carbon and circular-economy technologies, mining sector participants on their investments in critical minerals assets and supermajors and national oil companies on the acquisition and divestment of upstream oil and gas assets and downstream petroleum and electric vehicle charging businesses.

Andrew has previously spent time on secondment to the renewables and energy solutions team of a supermajor.

Representative Legal Matters

  • Advising Hitachi on its USD 11 billion acquisition and carve-out of ABB’s power grids business.
  • Advising Iberdrola on its acquisition of a portfolio of UK PV Solar projects from Lightsource BP.
  • Advising Shell on the sale of its Russian downstream retail petrol and lubricants blending business to LUKOIL.
  • Advising Shell on the sale of its interest in the Salym Petroleum Development joint venture to Gazprom Neft.
  • Advising Shell on its acquisition of the PANOLIN Environmentally Considerate Lubricants (ECLs) business from the PANOLIN Group.
  • Advising ZCCM Investment Holdings Plc on its agreement to restructure its joint venture arrangements with First Quantum Minerals in respect of the Kansanshi Mine, Zambia, by way of conversion of its ordinary dividend rights into a life of mine royalty.
  • Advising a number of international funds on the acquisitions and disposals of portfolios of European and Asian PV solar and onshore and offshore wind assets.*
  • Advising Galp on its agreement to sell its non-operated interests in Angolan offshore blocks 32, 14 and 14K to SOMOIL for consideration of up to USD 830 million.
  • Advising a confidential client on the establishment of a UK floating offshore wind development joint venture.
  • Advising an SOE on the proposed USD 900 million acquisition of Chevron's South African and Botswanan refining and retail business.*
