Biography

Adam Buehler is a senior associate in the Miami office of Baker McKenzie and a member of the North America Transactional Group. Adam represents clients in the areas of public and private offerings of debt and equity securities, public company securities law compliance, and global reorganization transactions.

Adam is also proficient in German.

Practice Focus

Adam regularly represents clients on a variety of capital markets transactions, including equity market transactions such as initial public offerings, rights offerings and accelerated book builds, both SEC registered and private 144A debt market transactions, high yield bond transactions, as well as liability management transactions such as tender and exchange offers.

  • Cummins Inc., on its USD 1.5 billion exchange offer to split off Atmus Filtration Technologies, Inc. with Goldman Sachs and JP Morgan Securities. 
  • EquipmentShare.com on its USD 400 million high-yield bond offering of senior secured second lien notes.
  • EquipmentShare.com on its USD 640 million high-yield bond offering of senior secured second lien notes.
  • Atmus Filtration Technologies, Inc., on its USD 316 million initial public offering (valuing the company at USD 1.6 billion) with Goldman Sachs and JP Morgan.
  • Aurora Acquisition Corp. in its USD 6.9 billion de-SPAC transaction with Better HoldCo, Inc. and its PIPE financing with SoftBank and Novator Capital, a British retail and commercial bank in the issuing of over USD 67 billion in SEC registered senior notes and fixed rate additional tier 1 perpetual subordinated contingent convertible securities from 2015 to 2020 (underwriters' counsel).
  • A Spanish bank in the issuing of over USD 19 billion in SEC registered senior notes from 2017 to 2020 (underwriters' counsel).
  • A North America-based brewing company in the issuing of over USD 30 billion in SEC registered securities (both new issuances and exchange offers) from 2018 to 2020 (underwriters' counsel).
  • A payment-processing company on its USD 10.4 billion merger acquisition through a scheme of arrangement resulting in an SEC registration statement (shares listed on NYSE) and FCA listing prospectus (shares listed on LSE).
