Biography

Robert Adam is a partner in the Firm’s Corporate Group in London and is the Corporate Know-how and Training partner. He joined Baker McKenzie as a trainee in 1998 and became a partner in 2008.

Robert was seconded to the Takeover Panel for two years and also spent seven months as a partner on secondment at British American Tobacco. Robert sits on the Law Society Company Law Committee and a number of its sub-committees and working groups, including on takeovers, on corporate transparency and on the UKLA rules and has been listed in The Lawyer's Hot 100.

Practice Focus

Robert has a wide range of experience across corporate transactional and advisory work including cross-border and domestic M&A with a particular focus on takeovers and on various securities, corporate law and corporate governance matters. As Know-how and Training partner, he works with major clients to agree and develop tailored know-how, training and other "value add" support as well as managing the internal provision of know-how and training to the Corporate Group in London.

Representative Legal Matters

  • Acting as Secretary to the Takeover Appeal Board in relation to the appeal relating to MWB Group Holdings Plc.
  • Advising a French multi-national advanced technologies company on a complex cross-border carve out transaction.
  • Advising multiple financial advisers on their "cash confirmation" obligations in relation to various takeovers under the Takeover Code.
  • Advising BAT in relation to various M&A matters.
  • Advising various London Main Market listed companies on their continuing obligations including under the Listing Rules, DTRs, Corporate Governance Code, MAR and Companies Act.
  • Advising Fiera Infrastructure Inc on the GBP 340 million recommended cash offer for Augean Plc by a consortium comprising Fiera Infrastructure Inc and Ancala Partners LLP.
  • Advising Cadogan Petroleum Plc in relation to a requisitioned general meeting to change the board.
  • Advising the Olayan Group in relation to the possible GBP 2.9 billion offer for Intu Properties Plc by a consortium comprising the Olayan Group, the Peel Group and Brookfield.
  • Advising TVH Group N.V. on its GBP 444 million unilateral competitive cash offer for Lavendon Group PLC.
  • Advising BGEO Group PLC on elements of its GBP 1.4 billion scheme of arrangement and demerger of its investment business and premium listings of both the banking and investing businesses.

Robert has been included in The Lawyer's Hot 100. He was also shortlisted for The Lawyer's Assistant Solicitor of the Year Award in 2006.
