Over the past decade the M&A market has seen a steady rise in the number of carve-outs where corporates decide to divest business units that no longer (or perhaps never) aligned with their vision for the future. At the same time, as competition between PE buyers for quality assets has intensified, it has become imperative for PE buyers to cast their net wider for investment opportunities.

The article looks at the various complexities of a carve-out and highlights what private equity firms need to evaluate in order to ensure their bid is both attractive from a value perspective, and executable.
