Biography

Omar is a senior associate at Helmy, Hamza & Partners, Baker McKenzie Cairo. He focuses on mergers & acquisitions, corporate advisory, restructuring and banking and finance. He has experience in experience in acquisition transactions, due diligence processes, drafting of pertinent reports and high-level issues reports, drafting of acquisition related documentation including share purchase agreements, shareholders’ agreements, escrow agreements and all ancillary transaction documents.

Omar, further, has experience in banking related laws and regulations. He also represents major consumer finance and structured consumer finance and structured finance companies providing non-banking services and advises on the regulatory requirements and commercial agreements related to such activities including financial leasing, consumer finance, factoring, consumer factoring and mortgage finance.

Mergers & Acquisitions

  • Represented Compass Capital in their investment and acquisition of Bonyan the owning company of Designopolis, commercial and administrative building in Sheikh Zayed (currently known as Walk of Cairo).

  • Advised Tiger Global on the Seed Funding Round II of Axis Pay.

  • Advised Tiger Global on the Seed Funding Round II of Axis Market B.V, a leading online brokerage firm.

  • Advised a major local aviation group in internal restructuring of the group.

  • Advised GEMS Egypt on the acquisition of 70% of Trillium Nurseries.

  • Represented a consortium of investors in the acquisition of Tamweel Group (an integrated financial service group of companies).

  • Representing a private equity fund in the acquisition of several healthcare service providers in Egypt.

  • Advised Al Ahram Beverages in the group restructuring and relevant mergers.

  • Advising Reliance Group in its acquisition of a financial services group.

  • Advising the founder of Mabaret El Asafra Hospitals on the sale of minority stake to Tana Africa.

  • Representing Tanmeya Capital Ventures in its acquisition of a minority stake in Abu Auf.

  • Advising Catalyst Partners on the acquisition of a financial services group.

Banking and Projects

  • Advising the Arab Republic of Egypt on Egyptian law matters regarding the issuance of the first sovereign green bonds in the MENA region in the aggregate principal of USD 750 million with an annual interest of 5.25% maturing in 2025.

  • Advised ACWA Power Company on Egyptian law matters regarding its 200MW solar photovoltaic independent power production project in Kom Ombo, Egypt.

  • Advising Hungarian Export-Import Bank (HEXIM Bank) on EUR 1 Billion financing to the Egyptian National Railways Authority.

  • Representing mandated lead arrangers on Egyptian law matters in relation USD 1.5 billion bridge facility and revolving credit facility advanced to Fertiglobe Holding plc and Egyptian Fertilizers Company S.A.E.

  • Advising Bonyan for Development and Trade S.A.E on all legal aspects of the Islamic Musharakah Tripartite Agreement, Financial Lease Agreement with Banque Misr and BM Lease securing an Islamic finance of up to EGP 700 million.

  • Advising Dana Gas PJSC and Dana Gas Egypt Ltd. on Egyptian law matters in relation to USD 90 million facility advanced by Mashreq Bank.
