Biography

Wino van Veen is a full professor of corporate law at the Vrije Universiteit Amsterdam and director of the Amsterdam Institute for Financial Law and Corporate Law (ZIFO). His main areas of practice include Dutch company law and law on not-for-profit organizations. He joined the Firm's Amsterdam office in 2000.

Wino served on the expert team of the European Foundation Statute, initiated by the Max Planck Institute for Foreign Private and Private International Law and the Institute for Foundation Law and the Law of Nonprofit Organisations, Buccerius Law School. He was also a member of the Ministry of Justice expert group tasked with simplifying the law on private limited liability companies and the working group modernizing Dutch partnership law.

In addition, he is editor-in-chief of Wolters Kluwer, the leading online handbook on Dutch law on legal persons and partnership law.

Wino has co-authored and edited several books, including books on Dutch law on associations, cooperatives and foundations (Wolters Kluwer); the Societas Europaea (SE) (Wolters Kluwer); the Societas Cooperativa Europaea (SCE) (Wolters Kluwer); and civil society in Europe (Cambridge University Press).

He has (co-)authored comparative studies that have been published in Dutch, German, English, and in other languages.

Practice Focus

Wino's practice focuses on national and cross-border (de)mergers and conversions, structuring of joint ventures, and governance of companies and not-for-profit organizations.

He advises a range of clients, including family businesses, multinationals, sports federations, international NGO's and governments.

Representative Legal Matters

  • Advised an international NGO on revising its governance structure involving several foreign partner organizations.
  • Advised on the process of forming a Dutch branch organization for inland shipping.
  • Advised a leading multinational company on its conversion in an SE and outbound migration.
  • Advised on and designed legislation for Aruba Limited Liability Company, implemented on 1 January 2009.
  • Advised on and designed legislation for the implementation of the second Book of the Civil Code of Aruba (law on legal persons), implemented on 1 January 2021.
