Biography

Wouter is an experienced tax lawyer who regularly advises multinational enterprises on Dutch national and international tax law. He has extensive experience in complex national and cross-border business restructurings, market-entries (inbound/outbound), IP transfers, headquarter relocations, business succession, mergers and acquisitions, management participation structures, tax insurance and general tax advice for multinationals.

Wouter started his career at Baker McKenzie in 2015 and worked for a major Dutch law firm from 2020-2021. He rejoined Baker McKenzie in 2022.

Practice Focus

Wouter’s clients mainly consist of multinational companies in the energy and retail industry, as well as private equity investors, banks and insurance companies.

Wouter has registered tax law as principal legal practice area in the Netherlands Bar’s register of legal areas. Based on that registration, he is required to obtain ten training credits per calendar year in tax law, in accordance with the standards set by the Netherlands Bar.

Representative Legal Matters

  • Advised on the implementation of numerous Dutch holding structures, including relevant tax rulings.
  • Advised on the design and implementation of IP on-shoring restructuring of a large US multinational, including relevant tax rulings.
  • Advised on multiple M&A deals, both from a corporate contracts and tax structuring perspective.
  • Advised on permanent establishment risks in numerous countries.
  • 2024: Assisted a major insurance company on successful insurance of a complex Dutch tax risk (EUR 72 million).
  • 2024/2025: Assisted a major Belgian private equity fund (EUR 275 million asset value) with the set-up of their Dutch investment structure, including management participations.
  • 2024/2025: Assisted a major trust fund with Dutch equity divestment (EUR 108 million).
