Biography

Maxim V. Tsotsorin is of counsel in the Palo Alto office of Baker McKenzie and a member of the Firm's Transactional Practice Group. He regularly advises clients in connection with cross-border and US domestic minority investments, joint ventures, mergers and acquisitions, as well as general corporate matters. Maxim also assists clients with entering the US market, doing business globally and expanding internationally.

Practice Focus

Maxim counsels clients on all kinds of domestic and cross-border M&A, joint ventures, strategic investments, growth equity, emerging company financing rounds and other complex corporate transactions. He represents serial acquirers, strategic investors, venture capital funds and emerging growth technology companies across variety of industries. He has worked on numerous joint venture and M&A transactions and over 300 venture transactions with primary focus on the technology and life sciences industries.

Maxim regularly handles venture capital transactions in sectors such as AI, SaaS, iPaaS, cybersecurity, EdTech, InsurTech, IoT, FinTech, cleantech, semiconductors, connected vehicles, biotech, pharma, digital health, telemedicine, and medical devices, as well as impact investment transactions involving social enterprises (such public benefit corporations / B Corps). He has led numerous transactions involving Australia, Belgium, Brazil, Canada, China, East Africa, France, Germany, Hong Kong, India, Japan, Mexico, Nigeria, Poland, Russia, Singapore, South Korea, Spain, Thailand, UAE, the UK, and Vietnam, among others.

Venture Capital

  • Regularly advise various strategic investors and corporate venture arms in connection with equity and debt investments, such as Seiko Epson, ServiceNow, SKC, Educational Testing Service, Affirm, LiveRamp, Fortescue, Sika, KXVC, Sino Biopharmaceutical, Elevated Returns, Singha Ventures, and Fuchsia Ventures, among others.
  • Regularly advise, in connection with equity and debt investments, various sovereign wealth funds and development banks, such as JBIC, DBJ, BII Scots, FMO, and PMV, among others.
  • Regularly advise various venture funds and VC firms in connection with equity and debt investments, such as Global Ventures, Initial Capital, Cathay Innovation, Novastar Ventures, 3W Capital, Creadev, and VinaCapital Ventures, among others.
  • Regularly advise family offices on their minority investments as well as serial entrepreneurs and high net worth individuals on establishing their new ventures and on various fundraising matters.
  • Regularly advise Arbol, Blue Bean Technologies, etiraRx, Fondeadora, Otava and other emerging growth companies on various general corporate and venture financing matters as outside corporate counsel.

Mergers and Acquisitions

  • Advised Enovix Corporation, an advanced silicon battery company, in its acquisition of Routejade, a South Korean battery manufacturer.
  • Advised Amara NZero, a sustainable energy company, in its acquisition of Sunrgy Solar Distribution, a leading solar panel distributor.
  • Advised SKC in its joint venture with a public company leading globally in materials engineering solutions.
  • Advised One Equity Partners in its disposition of a portfolio company with operations in the Asia Pacific region.
  • Advised Heraeus, a leading component manufacturer, in its acquisition of Biotectix, developer of polymer-based conductive materials.
