Biography
Willem Jan is a senior associate in the Corporate department of Baker McKenzie Amsterdam. He is a member of the Firm's Mergers & Acquisitions Practice Group. He works closely with Firm legal and tax professionals in Amsterdam and other offices to ensure integrated transaction support.
Practice Focus
Willem Jan focuses on corporate law, with a particular emphasis on structuring complex cross-border transactions, such as private equity transactions, joint ventures and management equity participation schemes. In addition, he has extensive experience in equity capital markets. He also advises on general corporate and governance matters, from the perspective of Dutch corporate law.
Representative Legal Matters
- Advised Kohlberg Kravis Roberts & Co. (KKR) on the acquisition of a majority stake in Refresco, one of the largest independent beverage contract manufacturers in the world, from PAI and BCI.
- Advised Mytheresa on its agreement with Richemont on the acquisition of Yoox NET-A-Porter.
- Advised Mytheresa on its IPO on the New York Stock Exchange (NYSE).
- Advised New Amsterdam Invest N.V., a special purpose acquisition company, in its business combination with Somerset Park B.V.
- Advised New Amsterdam Invest N.V. on its SPAC IPO on Euronext Amsterdam.
- Advised FSN Capital on the acquisition of IT-consultancy firm ilionx, and the subsequent add-on acquisition of Inergy.
- Advised FSN Capital on the simultaneous acquisitions of OptiGroup, Hygos, TPC and BFG, creating a leading business-to-business distributor of business essentials.
- Advised FSN Capital on the acquisition of Microsoft-partner Fellowmind.
- Advised Audax Private Equity in connection with the acquisition of Validata Holding B.V. by DISA Global Solutions Inc., a portfolio company of Audax Private Equity.
- Advised Legrand, a French conglomerate, with its acquisition of Enovation in the Netherlands.
