Biography

Sujade is a partner in the Bangkok office of Baker McKenzie. He is currently active in the Banking & Finance, Capital Markets, Derivatives and Structured Finance practice groups.

He is specialized in the areas of financial products including but not limited to derivatives, structured products, structured finance, private banking, fund and debt capital market. He has been also acting as a Thai legal counsel for ISDA Association and regularly advises international and local banks, capital markets intermediaries, asset management companies, insurance companies and other financial institutions on financial services compliance and regulatory matters.

He has been a visiting lecturer at Faculty of Law, Chulalongkorn University for both LL.B. and LL.M. Programs since 2016 and regularly appears in public speaking events.

Practice Focus

Sujade’s practice includes extensive representation of international and domestic corporate and financial clients on a broad range of banking and finance, securities and derivatives law related issues. He has had involved in several first-to-market deals and has advised leading global financial institutions in entering the Thai market for the first time. He is well sought-after for his expertise, particularly in the areas of derivatives, structured finance, securities business, private equity fund and fund management, and exchange control.

Representative Legal Matters

Advised both local and foreign financial institutions from both buy and sell sides in offering derivatives, structured products and other financial products to Thailand-based clients.
Advised a number of local structured notes issues on setting up the structured notes programs and preparation of transaction documents.
Advised and assisted a number of global financial institutions in setting up a private wealth management business unit in Thailand, including obtaining securities and derivatives licenses.
Advised for various institutional and non-institutional investors, including commercial banks, securities companies, mutual funds, private funds, and high-net worth corporate entities, in the investment in various derivatives products with plain vanilla and exotic structures (e.g. total return notes, equity and ETF linked options, equity linked notes, credit linked notes, and commodity derivatives transactions) offered inside and outside of Thailand.
Advised top fund management companies in Thailand in investing in structured notes, structured warrants and structured certificates issued by global issuers.
Advised client on equity collar financing transaction.
Advised clients on making investment in offshore private equity funds.
Advised two large asset management companies on their amalgamation.
