Biography

Gabriela joined Baker McKenzie in 2002, and is currently a senior associate in the Firm’s Real Estate Practice Group in Monterrey. She also has prior experience working in the Real Estate & Infrastructure Practice Group in Baker McKenzie’s New York office. She is seasoned in general corporate law and M&A transactions, and has fluent knowledge of foreign investment regulations as well as real estate and infrastructure law.

Practice Focus

Gabriela has assisted clients in the negotiation of numerous real estate, construction, purchase, lease, donation, guarantee and real estate trust agreements. She has also handled real estate and infrastructure due diligence matters for numerous companies. Gabriela is experienced in working on the incorporation, modification, and analysis of easements, rights of way, National Water Concessions and has assisted clients in the demarcation and crossing of Federal Zone property limits in rail, highway and river boundaries. Her track record includes successfully carrying out title studies, title insurance negotiation and contracting, due diligence work, land use studies/changes and condominium regime studies and incorporation. Gabriela has also supported clients in the expansion of its operations in Mexico, by assisting clients with the analysis of key relevant real estate issues to be considered when expanding its operations in Mexico, as well as with the leasing of commercial strategic assets and through the acquisition of multiple properties. In addition, Gabriela has participated in clients' nationwide market entrance and exit strategies, including the acquisition, development and disposition of its properties.

Representative Legal Matters

  • Assisted clients in the luxury world industry in the establishment of its operations in Mexico, as well as in the negotiation of Letters of Intent, Lease Agreements and Services Agreement, and all the regulatory aspects for the establishment of its operations in Mexico.

  • Assisted in the establishment of one of the most important research and development centers in Monterrey, NL.

  • Collaborated in real estate transactions for moving the premises of the US Government.

  • Prepared and negotiated various real estate agreements such as letters of intent, lease, purchase, construction, deposit and donation agreements, among others.

  • Assisted clients in the expansion of its operations in Mexico, including the acquisition, development and disposition of its properties.

  • Conducted title studies and title insurance.

  • Prepared and negotiated corporate guarantee agreements.

  • Participated in operations intended to create an entity through the purchase of clients’ assets in several jurisdictions. This matter involved the transfer of employees without interrupting the business.

  • Prepared shareholders’ meeting minutes.
