Financing

• Advised a Thai energy developer on a USD 37.8 million offshore facility to be obtained from the Asian Development Bank for the development of a 50 MW solar power project in Tay Ninh province. 
• Advised a Chinese commercial bank as the facility agent in a syndication loan of approximately USD 1 billion to a thermal power project in Vietnam on how to structure the loan based on Vietnamese laws and take the government guarantee.
• Advising offshore lenders in providing a syndication USD 155 million loan to the Vietnamese borrower operating in the port development sector.
• Advising offshore and onshore lenders in a syndication USD 60 million loan in respect of financing the purchase of some Airbus aircrafts.

Capital Markets

• Assisted a leading global steel and metal packaging company that is listed overseas on its investment structure in Vietnam and provided legal opinion for submission to the Securities Exchange for the purpose of listing overseas.
• Assisted a global leading company for various issues in relation to their subsidiary project in Vietnam for the purpose of overseas listing, including providing legal opinion and advising on documents in relation to the overseas listing from Vietnamese perspective.

Financial Services

• Advised several multinational financial institutions on regulatory and licensing requirements arising from cross-border offering of products and services in the private banking, investment banking, trust and wealth management, commercial banking and fund management sectors.
• Advised several payments service providers on licensing and regulatory requirements under the foreign exchange regulations and payment regulations.

M&A

• Advised and assisted an offshore private equity funds on the acquisition of 15% stake in ACB, a leading listed bank in Vietnam, from Standard Chartered Bank.
• Advised on a highly structured acquisition by a Hong Kong private equity group in a substantial equity stake (including preferred and common shares, warrants and options) and related convertible and non-convertible debt instruments with the a privately held Vietnamese joint stock company engaged in real estate business, including investment, development and management in Ho Chi Minh City.
