Treetip's practice includes securities offering, providing legal advice on the rules and regulations of the Office of the Securities and Exchange Commission, the Stock Exchange of Thailand, the Thailand Securities Depository, and the Ministry of Commerce. She specializes in takeovers, tender offer, listing, delisting and disclosure requirements for listed companies, and securities regulations (e.g., related party transaction, asset acquisition and disposition for listed companies).

Treetip also focuses on domestic, inbound and outbound mergers & acquisitions, public M&A, joint ventures, corporate governance, commercial and business laws and contracts. She has been involved in pioneering regulated tokenization and initial coin offering projects.

• Advising BCPG Public Company Limited on its capital increase of THB 16.5 billion through the issuance of 1,301.70 million units of new ordinary shares and warrants by way of rights offering and private placement as well as warrants under employee stock option scheme

• Advising XSpring Capital Public Company Limited (XPG) on its capital increase and offering of shares by way of right offering and private placement and private placement general mandate at the total approximate offering size of THB 7.7 billion

• Assisting AGC Inc., with its landmark project in a series of capital market and securities law related transactions, including (i) the delisting of Vinythai Public Company Limited from the SET, (ii) the amalgamation of AGC Chemicals (Thailand) Co., Ltd. and Vinythai Public Company Limited to form AGC Vinythai Public Company Limited (AVT), (iii) AVT's capital increase and issuance of shares by way of private placement to PTT Global Chemical Public Company Limited (PTT GC) with the approximate offering price of THB 2.14 billion; and (iv) investment in projects in relation to the expansion of the PVC and NaOH production capacity of AVT, the total investment cost of which is approximately THB 29.8 billion

• Advising Krungsri Finnovate Company Limited to set up “Finnoventure Private Equity Trust I”, the first start-up private equity trust in Thailand, with a fund size of approximately THB 3 billion.

• Advising underwriters in relation to the capital increase and the offering of 355,557,300 newly issued units of CPN Retail Growth Leasehold REIT (CPNREIT), the offering proceed used to invest in additional assets in the total approximate value of THB 5,672 million.

• Assisting SPV77 Co., Ltd and XSpring Digital Company Limited on the fund raising of THB 2,400 million through the launch of Siri Hub Investment Tokens, real estate-backed digital tokens, in Thailand's first initial coin offering (ICO) filed for approval with the Securities and Exchange Commission (SEC).

• Advising Kubix Digital Asset Company Limited, a subsidiary of KASIKORNBANK Public Company Limited (KBank), and GDH 559 Co., Ltd. (GDH), on the "Destiny Token", the first regulated ICO of hybrid tokens in Thailand with features of both investment and utility. Holders will receive yields at different tiers depending on the level of success of the movie "Destiny" by GDH, while also enjoying the utilities related to the movie such as tickets, merchandise, honorable mentions in the credits, etc.

• Advised Token X Co.,Ltd, a subsidiary of SCBX, and Real Estate Exponential Co., Ltd, on the issuance and offering of RealX investment tokens, the first condominium real estate backed tokens in Thailand with 10 years maturity and the first 5 years guaranteed returns. The offering proceed of RealX tokens will be used to invest and purchase revenue streams from a number of the underlying condominium units of Park Origin Phrom Phong condominium, Park Origin Phayathai condominium, and Park Origin Thonglor condominium.

• Representing Carabao Group Public Company Limited (CBG) in connection with (i) its joint venture with Intercarabao Private Limited and its acquisition of a 51% interest worth THB 460 million in Intercarabao Limited, which will set the stage for the planned investments and expansion plan in the United Kingdom and Greater European market for CBG and (ii) its joint venture with Showa Denko K.K and Showa Aluminum Can Corporation to establish a joint venture company engaged in the business of importing and manufacturing aluminum beverage can bodies and EOEs.

• Representing Bain Capital Credit (Asia), LLC (“Bain”) in an extremely challenging and innovative acquisition financing to a special purpose vehicle acquirer (“Acquirer”) who was looking to acquire land and a defunct hotel located in the busy Huay Kwang District of Bangkok from 5 different bankrupt original owners. The transaction includes the equity financing which was done by way of a full-blown shareholders agreement with extensive rights and protections as a preferred shareholder including guaranteed minimum equity IRR given to Bain when it exits via put option mechanism in 2018 and subsequently represented Bain in its exit and divestment with the guaranteed minimum equity IRR.

• Advising B.Grimm Power Public Company Limited in connection with its initial public offering of shares in conjunction with its global offering in accordance with Regulation S (the deal was awarded "Best IPO Deal of Southeast Asia" by the Asset Country Awards in 2017).

• Representing Padaeng Industry Public Company Limited in connection with its acquisition of Symbior Elements Pte. Ltd., a holding company incorporated under the laws of Singapore having two subsidiaries operating approximately 30 MW solar power farms in Thailand from (a) Armstrong Southeast Asia Clean Energy Fund LP and (b) Symbior Elements Holdings Ltd via a bidding process.

• Representing Chememan Public Company Limited in connection with its acquisition of major stakes (via Northman Co.,Ltd, its wholly owned subsidiary, in Vietnam) in Ha Long Man Co., Ltd., a Vietnamese company engaged in the limestone business in Vietnam.
