Biography

Michal Malkovský is a member of the Firm's Antitrust & Competition and Mergers & Acquisitions practice groups in Prague.

Before joining Baker McKenzie, Michal worked at the European Commission's Directorate-General for Competition on antitrust investigations in the telecommunications and digital sectors.

Practice Focus

Michal advises clients on merger control, foreign investments screening, abuse of dominance cases, cartel investigations and various antitrust compliance issues.

In connection with M&A, Michal advises on cross-border acquisitions and divestments, performs due diligence investigations, assists with drafting of contractual documentation and handles follow-up corporate issues. Michal also provides complex structuring and regulatory advice in connection with corporate mergers, spin-offs and restructurings.

Representative Legal Matters

  • Represented SPIE, a leading technical engineering solutions company, in cartel investigations by the Czech Competition Authority and defence against further allegations of the Czech Competition Authority, including challenging a dawn raid before Czech courts.
  • Advised REWE Group in Phase II clearance of the merger between no. 1 and no. 2 players in the Czech travel and tourism sector before the Czech Competition Authority.
  • Advised Amazon Web Services on compliance with vertical agreements regulation.
  • Advised Tesco, a leading retailer, in an internal antitrust audit.
  • Provided competition law trainings to the Czech team of a global car producer.
  • Provided competition advisory services to a major construction company, consisting of complex processes of competition reviews, assessments and recommendations as follow-up measures to a major cartel investigation.
  • Assisted GI Group, an Italian employment agency, in clearance of the acquisition of Work Service, a Polish agency with large presence in the Czech Republic by the Czech Competition Authority.
  • Advised Astute, a portfolio company of Audax Private Equity, on the acquisition of Socialbakers, a Czech Republic-based technology company focused on AI-powered social media marketing.
  • Advised Colt, one of the world’s leading designers and manufacturers of firearms, in relation to the Czech law aspects of the acquisition of Colt by Česká zbrojovka Group, one of the largest European firearms manufacturers.
  • Advised PFNonwovens Holding, a leading manufacturer of nonwoven fabrics, on squeeze-out of minority shareholders and delisting of PFNonwovens from the Prague Stock Exchange.
  • Advised Sika, a global construction chemicals group, on acquisition of MBCC Group from the private equity firm Lone Star and the divestment of MBCC's admixtures business to Cinven.
