Biography

Colleen Lee is a partner in Baker McKenzie's Palo Alto office. Colleen has represented public and private companies and private equity firms in a variety of U.S. and cross-border corporate transactions, including mergers, acquisitions, carve-outs, spin-offs, internal reorganizations, minority investments, and joint ventures across a broad range of industries. In 2023 and 2024, Colleen was named a Best Lawyers One to Watch and in 2024, Colleen was selected as a Minority Corporate Counsel Association Rising Star.

  • Intel Corporation in its collaboration with United Microelectronics Corporation to develop a 12-nanometer semiconductor process platform; in its proposed but terminated USD 5.4 billion acquisition of Tower Semiconductor Ltd.; and in its acquisition of Granulate Cloud Solutions Ltd.
  • Bright Lights Acquisition Corp. in its proposed, but terminated, USD 1 billion merger with Manscaped 
  • View in its USD 1.6 billion merger with CF Finance Acquisition Corp. II and in its acquisition of IoTium
  • PayPal Holdings, Inc. in its USD 4 billion acquisition of Honey Science Corporation; in its acquisition of Hyperwallet Systems Inc.; and in its acquisition of Simility Systems

Carve-outs and Spin-offs

  • Intel Corporation in the sale of its 5G smartphone modem business to Apple, Inc. and in the sale of its home gateway platform division to MaxLinear, Inc.
  • Fortive Corporation in the separation and spin-off of its Automation and Specialty Platform (A&S Platform) and a USD 3 billion reverse morris trust transaction involving the merger of its A&S Platform business with Altra Industrial Motion Corp.
  • Danaher Corporation in the separation and spin-off of its communications business and a USD 2.6 billion reverse morris trust transaction involving the merger of its communications business with NetScout Systems, Inc.
  • Sabre Corporation in the sale of its AirCentre suite of flight and crew management software solutions to CAE Inc. for USD 392.5 million
  • Endo International in a variety of transactions, including the sale of its American Medical-Systems male urology portfolio to Boston Scientific Corporation for USD 1.6 billion
