Theppachol Kosol

Mr. Kosol regularly provides legal advice and recommendations on matters relevant to mergers and acquisitions, securities and listing regulations, corporations and partnerships, commercial law, as well as laws governing banks and other financial institutions. He also advises clients on defensive and offensive takeovers, as well as debt restructuring. His wide client base includes domestic and foreign banks, equity funds, state enterprises and power companies.

• Advised MK Restaurant Group Public Company Limited on the acquisition of 65% shares in Laemcharoen Seafood Co., Ltd. with the value of THB 2.06 billion.

• Advised Minor International Public Company Limited, a public limited company listed on the Stock Exchange of Thailand, in relation to regulatory advice and relevant corporate approval process in connection with the THB 66 billion investment in shares in NH Hotel Group, S.A., a company listed on Madrid Stock Exchange, by way of a block share acquisition and launching a Takeover Bid. This deal was winner of the Merger & Acquisition/ Portfolio of the Year 2019 Award by Hotel Investment Conference Europe (Hot.E).

• Advised Thai-German Ceramic Industry Public Company Limited (TGCI), and four private companies in their amalgamation transaction to restructure its ceramic tiles business. TGCI and those private companies are subsidiaries of The Siam Cement Public Company Limited (SCC).

• Advised Bangkok Expressway Public Company Limited (BECL) and Bangkok Metro Public Company Limited (BMCL) in their amalgamation, which formed Bangkok Expressway and Metro Public Company Limited, the largest transportation and logistics service provider in Thailand. The deal was named Best Deal of the Year 2017 by the Stock Exchange of Thailand.

• Advised SCG PACKAGING Public Company Limited on its spin off and IPO of 1,127.5 million shares in the Stock Exchange of Thailand under the exemption of Regulation S of the US Securities Act 1933, having the value of Baht 39.5 billion (USD 1.3 billion), with offerings to institutional investors, Cornerstone Investors and international investors. The offering is Thailand’s second largest IPO in 2020.

• Advised S Hotels and Resorts Public Company Limited on its initial public offering of 1.437 million shares in the Stock Exchange of Thailand, with the value of Baht 7.475 billion or approximately USD 260 million.

• Acted as Thai and English law counsel to Singha Estate Public Company Limited with respect to its dual-track offering of USD 180 million of convertible bonds and USD 50 million of shares, which comprised 400 million ordinary shares, under Regulation S. This deal was named Best Deals - Southeast Asia, Thailand, Best Equity-Linked, The Asset Country Awards 2017.

• Advised Thai Airways International Public Company Limited in relation to the public offering of new ordinary shares issued by THAI and the sale of existing shares by the Ministry of Finance (MOF) (with the over-allotment shares granted by the MOF) to investors in the domestic market (through Thai underwriters) and the international market (through the initial purchasers) under Rule 144A and Regulation S.

• Advised the Ministry of Finance, State Enterprise Policy Office (SEPO), and the Fund Managers consisting Krungthai Asset Management Public Company Limited and MFC Asset Management Public Company Limited on the establishment and management of Thailand Future Fund (TFFIF), an infrastructure fund in its initial public offering to both domestic and international investors. This deal was named Best Deal Thailand by Finance Asia Achievement Awards 2018, Deal of the Year 2018 by Asian-Mena Counsel, Equity Market Deal of the Year (Premium) by Asia Legal Business SE Asia Law Awards 2019 and Infrastructure Fund IPO of the Year by The Asset Triple A Asia Infrastructure Awards 2019.

• Advised True Corporation Public Company Limited and its subsidiaries on the establishment of the True Telecommunications Growth Infrastructure Fund (currently Digital Telecommunications Infrastructure Fund). This deal was named Best Follow-on Offering by The Assets Country Awards 2018, Best Deals – Southeast Asia and Telecom Deal of the Year by The Asset Triple A Asia Infrastructure Awards 2019.
