Biography

Tyler Hilton is a partner in the Transactional Practice Group in Baker McKenzie's Los Angeles office. Tyler advises companies and investors on public and private M&A transactions, equity financings and corporate governance. Tyler's M&A practice includes both private equity and strategic transactions in a wide variety of industries.

Tyler is deeply committed to his pro bono work, where he represents immigrants in asylum proceedings as well as those seeking benefits under the U visa program administered by US Citizenship and Immigration Services.

Practice Focus

Tyler represents buyers and sellers in M&A transactions across multiple markets. He has particular experience in Latin American cross-border deals. Additionally, he counsels companies and investors in equity financing transactions through all stages of growth. Tyler also advises on commercial transactions and counsels both for-profit and nonprofit clients on corporate governance matters.

Representative Legal Matters

  • Advised Fomento Económico Mexicano, S.A.B. de C.V. (FEMSA) in its acquisition of Delek US Holdings, Inc.'s retail business with 249 convenience stores.
  • Represented Envoy Solutions, a diversified distribution company, in multiple acquisitions.
  • Represented FEMSA in its investments in Restaurant Depot.
  • Advised Nexus Capital Management in its acquisitions of HDT Global and Aviation Ground Equipment Corp.
  • Represented Intel Corporation in the USD 9 billion sale of its NAND memory chip business to SK hynix.
  • Represented Berkshire Hathaway in its USD 10 billion investment in Occidental Petroleum.
  • Advised Oaktree Capital Group with the sale of 62% of its business to Brookfield Asset Management.
  • Advised Pacific Gas & Electric Company in the USD 973 million sale of its transmission tower wireless licensing rights to SBA Communications.
  • Represented Nexus Capital Management in its acquisition of FTD in a 363 sale and its acquisition of MAV Beauty Brands under the Companies' Creditors Arrangement Act in Canada.
  • Represented the lead investor in a USD 250 million equity financing of an early-stage biotech company.
  • Advised investment funds managed by affiliates of Fortress Investment Group in the sale of Revolution Studios to Content Partners.
  • Represented a leading luxury consignment company in a USD 115 million growth equity financing round.
