Biography

Theodore is a principal in Baker McKenzie’s Singapore office and a member of the Firm’s Mergers & Acquisitions and Private Equity practice groups.

He has several years of experience advising clients on navigating market and transactional complexities throughout APAC and EMEA. He frequently handles intricate, high value deals and is regularly called upon for his methodical competence, top-quality expertise and commercial practicality for multiplex mandates. Theodore is also recognised in legal directories, particularly as being a ‘hands-on lawyer with strong communication skills.’

Prior to joining Baker McKenzie, he began his career with Freshfields Bruckhaus Deringer in London, Dubai and Singapore before a stint with Herbert Smith Freehills in Singapore.

Theodore acts for global financial sponsors and multinational corporates on the full spectrum of corporate matters across all sectors.

His practice is internationally driven and regionally attuned with a focus on complex, cross-border mergers and acquisitions, private equity and venture capital work in Asia's high-growth markets.

While active across all industries, he is particularly relied upon as a trusted advisor by private capital players for transactional matters involving the consumer, energy, financial services, healthcare, industrials, infrastructure, technology and telecommunications sectors.

Representative Legal Matters

  • Advised Macquarie Asset Management and The Public Sector Pension Investment Board on their sale of AirTrunk, a hyperscale data centre business with operations in multiple APAC jurisdictions including Australia, Japan, Singapore, Hong Kong and Malaysia, to a consortium of investors led by Blackstone.

  • Advised TR Capital on its investment in OATSIDE, a Singapore-based oat brand distributed across 18+ markets in Asia Pacific.

  • Advised a private equity consortium on their significant minority investment in the international (ex-mainland China) business of GDS Holdings, a leading developer and operator of high-performance data centres in Asia.

  • Advised TA Associates on its disposal of InCorp Global, a pan-Asian (over eight jurisdictions) corporate solutions provider to Hillhouse Capital.

Selected experience prior to joining Baker McKenzie:

  • Advised GIC on its investment in renewable energy company Greenko.

  • Advised Globe Telecom on its multiple sales of mobile towers to various infrastructure platforms backed by private equity groups such as KKR, Stonepeak, Macquarie Capital and Partners Group.

  • Advised General Atlantic on various transactions, including its investment in fintech company VNLife.

  • Advised CPP Investments on various transactions, including its investment in e-commerce platform Flipkart Group.

  • Advised Blackstone on various transactions, including its privatisation and delisting of SGX-listed Soilbuild Business Space REIT.

  • Advised Abu Dhabi Investment Authority as a ReNew Power major shareholder in ReNew’s business combination with SPAC RMG Acquisition Corp. II.
