Biography

Natalie Gallon is an associate in Baker McKenzie's Transactional Group in the Chicago office. Prior to joining the Firm, Natalie practiced corporate law with a focus on mergers and acquisitions and private equity at an international firm in Chicago for over three years.

Additionally, in 2019 Natalie was a student clinic participant at Harvard Law School International Human Rights Clinic, contributing to the publication Interpreting the Arms Trade Treaty: International Human Rights Law and Gender-Based Violence in Article 7 Risk Assessments and the presentation relating to the publication at a conference in Latvia.

Practice Focus

Natalie's practice is focused on representing clients in matters of domestic and cross border mergers and acquisitions, corporate governance and commercial contracting including for a wide range of private equity clients and their portfolio companies. Natalie is experienced in negotiating and drafting transaction agreements, governing documents, employment agreements, equity agreements and incentive equity documents. She also conducts corporate diligence on acquisition targets in various industries, including software, healthcare, wealth management, insurance, shipping and logistics, among others.

Natalie also maintains a robust pro bono practice with experience in assisting individuals seeking asylum in the United States and in advising nonprofit organizations in obtaining 501(c)(3) status and other corporate governance matters.

Matters handled prior to joining Baker McKenzie include the following:

  • Advised Genstar Capital on various acquisitions and investments, including its acquisition of software company Vector Solutions, its investment in Likewize, a provider of cell phone and electronic device protection products and services, and its investment in Daxko, a membership software provider in the health and fitness industry. 
  • Advised Rocket Software, a portfolio company of Bain Capital, on its pending acquisition of OpenText's AMC business.
  • Advised Vista Equity Partners on various acquisitions, including its acquisitions of Securonix, a security information and event management provider, and TRG Screen, an enterprise subscription management solutions provider.
  • Advised Bain Capital Double Impact on its acquisition of MeTEOR Education, a K-12 classroom designer.
  • Advised Summit Partners on its minority investment in Keeper Security, a cybersecurity software company.
  • Advised Abry Partners on various acquisitions and investments, including its acquisition of NetNumber, a provider of telecommunications data services, and its minority investment in Prime Capital Investment Advisors, a wealth management firm.
  • Advised Audax Group on various acquisitions, investments and divestitures, including its sale of portfolio company Katena Products, a medical device company.
  • Advised Nexstar Media in connection with its acquisition of the CW Network.
  • Advised American Securities on its acquisition of Trace3, a software integration and consulting company.
  • Advised Fort Point Capital on various acquisitions and investments, including its acquisition of the Yandell Family of Companies, a provider of transportation, warehousing and logistics services in the wine and beverage industry, and its acquisition of Strata Information Group, a provider of software implementation and support services in the higher education industry.
