Biography

Florene Frenot is a Global Equity Services associate in the Employment & Compensation Practice Group in Baker McKenzie's New York office. Before joining Baker McKenzie, Florene worked as an associate at another international law firm where she advised a wide variety of technology companies and leading venture capital investors on general corporate governance, mergers and acquisitions, and venture capital financing matters totaling over USD 4 billion. Her prior responsibilities included drafting equity plans, maintaining capitalization tables, forming new incorporations and LLCs, drafting transaction documents and preparing security filings such as stock (equity) plan exemption, state foreign business qualification and Form D filings.

During law school, Florene served as a committee board member of the Harvard Association for Law & Business and the Black Law Students Association. She was also a member of the Harvard Women's Law Association.

Practice Focus

Florene advises multinational employers to design, implement and maintain equity-based compensation programs for global employees, consultants and directors. These include tax considerations, securities filing and disclosure requirements, exchange control rules, labor law exposure, data privacy concerns and compliance issues connected to offering equity compensation in different jurisdictions. She also counsels clients on the legal/regulatory/tax matters associated with the global compensation arrangements in cross-border M&As, reorganizations, spin-offs, or other complex corporate transactions.
