Biography

Sharon is a local principal in the Mergers & Acquisitions Practice Group in Singapore.

Prior to joining Baker McKenzie, Sharon was an in-house legal counsel with an asset manager and practised at a leading Singapore law firm. When Sharon was in-house, she was primarily responsible for providing expert and strategic legal advice to key stakeholders in respect of corporate transactions and general commercial matters, managing and reviewing legal risks for the organisation and its respective portfolio operating entities.

Practice Focus

Sharon's practice is primarily focused on corporate transactions, namely in the areas of mergers and acquisitions (both public and private), joint ventures, venture capital and private equity. She also advises on a broad range of general corporate matters.

Representative Legal Matters

  • Advised Zuellig Pharma's Singapore subsidiary MiCare, one of Asia Pacific's leading medical claims administrator on its strategic M&A transaction pursuant to which Mitsui & Co. (Asia Pacific) Pte. Ltd. and International Finance Corporation invested approximately USD 60 million in MiCare.
  • Advised Unilever (China) Ltd. on its e-commerce related joint venture with Hangzhou Golong Holding Co., Ltd. for the distribution of products in Mainland China, Hong Kong and Macau.
  • Advised Trip.com Group Limited on its joint venture with TripAdvisor, Inc. in China and its strategic investment in TripAdvisor.
  • Advised MetLife Inc. on the sale of MetLife's Hong Kong life insurance business to FWD Management Holdings Limited.
  • Advised Pan Ocean Co., Ltd. in connection with its voluntary delisting from the Official List of the Singapore Exchange Securities Trading Limited pursuant to a conditional cash exit offer.
  • Acted for Columbia Capital, a leading venture capitalist firm, on its mandatory takeover of euNetworks Group Limited.
  • Acted for Malaysia Bursa-listed Top Glove Corporation Berhad on its privatisation of Medi-Flex Limited.
