Biography

Joseph Deng is a partner in the Employment & Compensation Practice Group with a focus in global employment law. With over 25 years of experience, Mr. Deng advises major US and other multinational companies on employment matters around the world with a focus on Europe and the Asia Pacific region. He advises on workforce expansions, complex cross-border transactions, international employee transfers, strategic workforce restructuring, codes of conduct, compliance and investigations, and restrictive covenants. Mr. Deng joined the Firm in China in 2007 and spent seven years in the Firm’s Shanghai and Beijing offices. In 2014, he returned to the US and worked in the Firm's Palo Alto and Los Angeles offices. He is currently resident in the San Francisco office of Baker McKenzie, the only international law firm to be ranked Band 1 by Chambers Global for Employment.

Practice Focus

Mr. Deng advises clients on global employment issues related to international transactions, workforce management, compliance and investigations. His transactional expertise includes managing workforce-related due diligence, advising on the employment aspects of transactional documents, counseling on employee transfer mechanisms, hands on support with notice and consultation requirements, and drafting and implementing restrictive covenants. between entities, advising on works counsel and union issues, and related matters.

Beyond a transactional context, Mr. Deng regularly counsels public and private multinational companies on employment contracts and advice, international executive mobility issues, employee terminations and reductions in force, safeguarding intellectual property rights, as well as on labor relations/union matters. Further, because Mr. Deng has a comprehensive understanding of how the global trend to expand protections for workers from workplace harassment is unfolding at the local level in the APAC region, he frequently supports US-based clients manage harassment and discrimination prevention, as well as leading sensitive cross-border internal investigations.

Representative Legal Matters

Compliance & Investigations 

  • Represented US-based multinational companies with respect to allegations of commercial bribery, kickbacks, embezzlement, fraud and conflicts of interest relating to supply chains, distribution networks and sourcing operations.

  • Advised a large California-based technology company on the data privacy and employment law considerations of using company information systems in the US, and in EMEA and APAC, during disciplinary actions.

  • Represented a large Beijing-based multinational against allegations of sexual harassment and misconduct by a senior manager in the US and China.

  • Represented a large US company in the investigation and defense against sexual harassment claims brought against a senior expatriate manager in China.

  • Advised US and other multinational companies on FCPA investigations including allegations of official corruption and commercial bribery.

Transactions

  • Advised a major technology company on separation and restructuring of a global workforce in 23 countries related to the spinoff of semiconductor operations.

  • Advised a Fortune 500 company on several transactions including a public spin-off on multiple transactions, including global employment matters related to, divestiture and sale of different lines of businesses in an announced deal value of over USD 25 billion.

  • Assisted Johnson & Johnson with the employment aspects of its separation and spin-off of, its consumer products (Kenvue from its pharmaceuticals and medical devices business across over 45 jurisdictions around the world.

  • Assisted S&P Global in the post-acquisition integration of IHS Markit of over 35,000 employees in over 40 jurisdictions, and sale of its Engineering Solutions Business (Accuris) to one of a KKR Portfolio companies.

  • Advised Instacart in its purchase by way of a stock acquisition of Caper AI, which designs "smart" grocery carts including employees in New York and in China.

  • Assisted McAfee Corporation with the completion of the sale of its Enterprise business to a consortium led by Symphony Technology Group (STG) in an all-cash transaction for USD 4 billion involving 44 countries and 65 legal entities around the world.

  • Assisting a large semi conductor company with the separation and spinoff of one of its key business lines including over 22 jurisdictions around the world in a multibillion dollar transaction.
