Biography

Federico Cuadra Del Carmen is a Partner based in the Miami Office of Baker McKenzie and is a member of the Firm's Transactional Group. Federico serves as the Co-Hiring Partner for the New York and Miami Offices. He is also Co-Chair of the New York and Miami Diversity Committee and serves on the Firm's North America Talent Committee. Federico's dedication to his clients and his practice has garnered a variety of accolades, including being named as a "40 Under 40" honoree by Bloomberg Law and a "Next Generation Partner, Corporate and M&A" by Legal 500.

Federico maintains an active presence in the communities he works in and is a proud contributor to the Firm's Homeless Youth Handbook, working hand-in-hand with client teams and NGO partners to draft chapters in the Florida and New York editions.

Practice Focus

Federico has significant experience in general corporate counseling and in structuring, negotiating and implementing a variety of mergers, acquisitions, carve-outs, corporate restructurings, joint ventures, business expansions, and private equity and venture capital transactions. He routinely represents a broad range of local and multinational clients in US and cross-border business and investment transactions, helping them navigate through complex and transformative matters.

  • Advised Johnson & Johnson on its USD 50 billion spin-off of Kenvue, its consumer health business.
  • Advised Edelman Financial Engines LLC in connection with a series of strategic transactions, including the acquisitions of Soundmark Wealth Management, New England Pension Plan Systems, PRW Wealth Management, Align Wealth Management, Erman Retirement Advisory, Hermann & Cooke, Smart Investor and Viridian Advisors.
  • Advised ASAI Capital Holdings Ltd. in its proposed acquisition of Alicorp's milling assets in Bolivia, Peru and Uruguay. 
  • Advised Mercon Coffee in its global restructuring, leading the M&A and corporate workstreams.
  • Advised Spectrum Brands on the USD 4.3 billion sale of its Hardware and Home Improvement (HHI) business to the Assa Alboy Group.
  • Advised Los Altos Food Products on its sale to Sigma Alimentos.
  • Advised Tiger Infrastructure Partners, a private equity fund, and its portfolio company, Granite Comfort, in connection with a strategic acquisition. 
  • Advised The Nielsen Company on its divestiture of Nielsen IQ to Advent International for USD 2.7 billion.
  • Advised AkzoNobel N.V. in its acquisition of New Nautical Coatings, Inc.
  • Advised China Yangtze Power Company (CYPC) on its USD 3.59 billion purchase of Sempra Energy's Peruvian businesses, including its 83.6% stake in Luz del Sur S.A.A. (Luz del Sur).
  • Advised the shareholders of BAC Florida Bank in the sale of the Bank to Banco Bradesco.*
  • Advised Spectrum Brands, Inc. on its divestiture of Rayovac to Energizer for USD 2 billion.
  • Advised Unilever in the acquisition of Hourglass Cosmetics.
  • Advised Unilever in the acquisition of Schmidt's Natural.
  • Advised The Nielsen Company in the acquisition of Gracenote, a leading entertainment data provider, from the Tribune Media Company for USD 540 million.
  • Advised Advent International in the acquisition of a minority shareholding interest in LifeMiles B.V., a subsidiary of Avianca Holdings S.A.
  • Advised PT Telekomunikasi Indonesia Tbk in its proposed acquisition of GTA Teleguam.
  • Advised The Nielsen Company in the acquisition of VisualDNA, a leading consumer insights and analytics company.
  • Advised The Nielsen Company in the acquisition of Repucom, the global leader in sports measurement, evaluation and intelligence.
  • Advised Unilever in the acquisition of Kate Somerville Skincare LLC.
  • Advised Spectrum Brands, Inc. on its acquisition of Armor All/STP for USD 1.4 billion.
  • Advised Scholastic Corporation on the sale of its Educational Technology and Services business to Houghton Mifflin Harcourt Company.
  • Advised Fresenius Medical Care in connection with its successful senior note offering (USD 900 Million) in October of 2014.
  • Advised Fresenius Medical Care North America in connection with its acquisition of Liberty Dialysis Holdings, Inc. for USD 2.1 billion.
