Biography
Santiago is a member of the Firm's Global Corporate and Securities Practice Group in New York. Santiago’s industry experience includes clients in the energy, telecommunications, financial services, and technology sectors. Earlier in his career, Santiago focused on FCPA investigations and compliance matters.
Practice Focus
He focuses his practice on a variety of cross border and domestic mergers and acquisitions, foreign investment, and private equity transactions. He regularly advises non-listed companies on issues relating to corporate governance, restructuring and planning and major transactions. Santiago has also ample experience in advising a wide range of industry clients on compliance and anti-corruption FCPA investigations.
Representative Legal Matters
- Advised JHD Holdings (Cayman) Limited, operating in China under the brand Ji Hui Duo®(“积惠多”), in its USD 1 billion de-SPAC transaction with publicly traded special purpose acquisition company East Stone Acquisition Corporation.
- Advised Daiwa Securities Group on its USD 120 million investment via the acquisition of bonds in Global X, a US based issuer of ETFs and owned by South Korea's Mirae Asset Global Investments.
- Advised Tiger Infrastructure Partners, a private equity fund, and its portfolio company, Granite Comfort, in connection with a multitude of acquisitions, financings and other significant corporate matters.
- Advised Tiger Infrastructure Partners, a private equity fund, and its portfolio company, Cleopatra Resources LLC, in connection with various financings and other transactional matters.
- Advised The Nielsen Company on its divestiture of Nielsen IQ to Advent International for USD 2.7 billion.
- Advised Astellas in its acquisition of Xyphos Biosciences, a development-stage biotechnology company focused on immuno-oncology therapeutics, for a total transaction value of up to USD 665 million including USD 120 million upfront and potential future development milestone payment
- Participated in the acquisition of one of the largest industrial parks in Guadalajara.
- Assisted various companies in compliance reviews and FCPA anti-corruption investigations in Mexico and abroad.
- Assisted various Mexican and foreign companies in commercial transactions.
- Participated in the acquisition of one of the largest cap and lid manufacturers in Latin America.
- Provided in-house-counsel services to an international pharma company.
