Nicolas Clément

Biography

Nicolas Clément is a Counsel in the M&A and Corporate practice group of Baker McKenzie's Luxembourg office. He has fifteen years of experience in mergers and acquisitions, corporate reorganizations, private equity and private banking. Prior to joining the Firm in 2015, Nicolas worked for a renowned private bank and a law firm for an aggregate period of approximately six years.

Practice Focus

Nicolas focuses his practice mainly on corporate law, and he routinely works for Luxembourg and foreign private equity funds. In particular, Nicolas advises on mergers and acquisitions, joint ventures, co-investments, management incentive plans, private equity matters and complex restructurings, with a particular focus on cross-border transactions. Nicolas is a regular speaker at conferences and training sessions on a wide range of topics relating to corporate law.

Representative Legal Matters

  • Advised a bank in an asset deal for the acquisition of the Luxembourg private banking business of another bank.
  • Advised a leading private equity firm on a complex cross-border rollover transaction, and on the subsequent implementation of a co-investment structure as well as a tailor-made incentive plan for executives.
  • Advised a bank on a cross border transaction relating to the acquisition of a stake in a multi-jurisdictional real estate portfolio, and the setting-up of the related financing and co-investment structure.
  • Advised a UK private equity fund focused on Turkey on the sale of a portion of its indirect interest in a Turkish leading fast casual dining restaurants and franchise operator to several Dutch private equity funds.
  • Advised one of the leading global infrastructure funds with the structuring of a number of its investments, co-investments and divestments through Luxembourg vehicles.
  • Advised a manufacturer of hermetic compressors in the framework of a global and complex restructuring of the holding and financing structure of several Luxembourg subsidiaries.
  • Regularly assists companies on defining and implementing corporate governance rules.
  • Regularly advises multinationals on the reorganization of their groups of companies and the use of Luxembourg vehicles.
  • Regularly advises on the implementation of local and cross-border mergers.
  • Regularly advises clients on co-investment and joint venture transactions (e.g. shareholders agreements, investment agreements, etc)
  • Regularly advises clients on shareholders' rights (e.g. rights for minority shareholders).
  • Regularly participates to presentations and trainings for clients re: corporate governance and directors' liabilities.
