Biography

Michelle Carr is a partner in the Corporate & Securities Practice Group of Baker McKenzie's Chicago office.

Practice Focus

Michelle is a corporate attorney with more than twelve years of experience acting as lead deal counsel to Fortune 500 companies and other multinational corporations in cross-border and domestic mergers, acquisitions and divestitures. She works across a range of industries, with a focus on life sciences and food & beverage transactions. She has significant experience guiding clients through complex multijurisdictional carve-outs involving global operations and significant transitional arrangements. She also advises clients on joint ventures, high stakes commercial agreements and other strategic arrangements.

  • Advised a European pharmaceutical company in its USD 2.4 billion acquisition of a global oncology business.
  • Advised a US public healthcare company in multiple antitrust-mandated divestitures of medical devices and diagnostic products.
  • Advised a US public company in its USD 3.7 billion acquisition of a separation and purification of solutions business.
  • Advised a European pharmaceutical company in its USD 2 billion acquisition of a commercial, clinical and research-stage oncology portfolio.
  • Advised a US-based family-owned food ingredients company in its USD 4 billion sale to a family office.
  • Advised a US public pharmaceutical company in the acquisition and divestiture of multiple manufacturing sites and related long-term manufacturing arrangements.
  • Advised multiple US public companies in their acquisitions of majority stakes in in family-owned or closely held companies and the negotiation of post-closing economics, governance and buy-outs.
  • Advised a clinical-stage biotechnology company in its entry into a long-term research and development collaboration with a US-based public research pharmaceutical company with consideration of more than USD 5 billion in cash and equity.
