Biography

Ramon Miguel Bacani is a partner in Quisumbing Torres’ Corporate & Commercial/M&A Practice Group and heads the infrastructure subsector of the firm's Energy, Mining & Infrastructure Industry Group. He is also a member of the Industrials, Manufacturing & Transportation Industry Group, and the Real Estate Focus Group. He has 13 years of experience advising foreign and domestic clients in mergers and acquisitions, joint ventures, corporate restructuring, foreign investments, government procurement, infrastructure, energy, mining and natural resources, real estate, and general corporate law matters.

Ramon’s practice focuses on mergers and acquisitions, joint ventures, restructurings, and related regulatory matters. He represents clients across a range of industries, including infrastructure, energy, mining and natural resources, real estate, logistics, transportation, technology, media and telecommunications, gaming, consumer goods and retail, and industrial manufacturing.

Representative Legal Matters

  • Assist a religious organization in setting up a new entity in the Philippines, and the spinoff of the manufacturing and distribution operations from an existing entity of the client to the new entity.

  • Assist a leading electronic components company in acquiring a factory and an interest in the land where the factory is situated, within a PEZA-registered ecozone.

  • Assist an Australian energy venture capital and private equity firm the preparing and reviewing its supply and install contract, and subcontracts, for the new manufacturing facility to be built in a Philippine ecozone.

  • Assist and advise a multinational technology company that designs and manufactures a wide range of household appliances on the construction of a state of the art facility within an ecozone under the jurisdiction of the PEZA.

  • Assist a global ship building company in negotiating the terms of the proposed acquisition of a shipyard. Assist in negotiating the terms of the proposed joint venture that will acquire a shipyard in Subic Bay, and the long-term lease of a portion of such shipyard from the joint venture.

  • Advise a Chinese state-owned utility company in various regulatory, policy, and disputes in relation to its interest in a consortium that was granted the concession to finance, operate, manage and maintain the assets and facilities of a government-owned and controlled corporation with the sole franchise to engage in the business of the transmission of electricity in the Philippines.
