Biography

Hessa is actively assisting on matters involving local and regional clients on initial public offerings, rights issues and mergers & acquisitions transactions. She is also assisting international clients on advisory work including Companies Law and Capital Markets Law of Saudi Arabia.

Representative Legal Matters

  • Acting as Underwriter counsel with regards to the IPO of Fakeeh.
  • Acted as transaction counsel to Arabian Contracting Services Company on its proposed IPO on the Saudi Exchange
  • Advised the syndicate of 11 underwriting banks on ACWA Power’s USD 1.2 billion initial public offering and listing on the Saudi Exchange, with an implied market capitalization on listing of approximately USD 11 billion.
  • Advised Riyad Capital in their capacity as underwriter of the IPO of Al Elm.
  • Acted for a client in the Food industry with regards to its direct listing on the parallel market of the Saudi Stock Exchange ("Nomu")
  • Advised supermarket giant BinDawood Holding Company on its US$ 585 million IPO on the main market of the Saudi Exchange.
  • Advised Allianz Saudi Fransi Cooperative Company (ASF), a listed company on the Saudi Exchange, on its rights issue of SAR 400 million.
  • Advised Mobile Telecommunication Company Saudi Arabia (Zain), a listed company on the Saudi Exchange, on its rights issue of
    SAR 4.5 billion.
  • Advised Arabian Centres on its IPO on Tadawul, the first ever international equity offering by a Saudi issuer involving a “Rule 144A” tranche to US investors, with Samba Capital, Morgan Stanley, NCB Capital and Goldman Sachs as joint financial advisors.
  • Assisted on the IPO of Maaden.
