Biography

Mohammad is a partner in the Corporate and Capital Markets Practice, focusing on mergers and acquisitions, initial public offerings and private placements. He has worked on transactions in the Kingdom of Saudi Arabia for over 20 years including some of the most high profile and complex transactions in the Kingdom helping him gain an in-depth knowledge of the Saudi Arabian market.

  • Advising insurance company on the disposal of a majority stake in a publicly listed insurance company in Saudi Arabia
  • Advising a financing company on its proposed joint venture with a leading technology company in Saudi Arabia and other GCC countries
  • Advising a leading investment fund on their joint venture with an oil & gas company and a steel manufacturing company to establish a steel plate manufacturing plant in Saudi Arabia.
  • Advising a financial investment company on its potential investment in a publicly listed food company in Jordan with operations in the Middle East and Turkey.
  • Advised Saudi shopping mall giant Arabian Centres Company on its USD 748 million IPO, with an implied market capitalization of USD 3.3 billion, making it the Kingdom of Saudi Arabia's largest IPO in four years.
  • Advising Alawwal Bank on the merger with Saudi British Bank (SABB). This is a ground breaking transaction that will create the third-largest bank in Saudi Arabia with total assets of USD 71 billion.
  • Advising one of a leading private real estate developers in Makkah on its proposed multi billion merger with a listed company in Saudi Arabia.
  • Advising one of the leading family businesses in Saudi Arabia on the restructuring of its regional businesses involving 45+ companies in 10 different jurisdictions. 
  • Advising Allianz Group on its acquisition of an additional interest in Allianz Saudi Fransi Cooperative Insurance Company. This is the first time that a foreign strategic investor has been allowed to acquire shares in a company already listed on the Saudi Stock Exchange (Tadawul). 
  • Advising Mohammed Alsubeaei & Sons Investments Company on  Alfadhili Housing project with Saudi Aramco with a total value of USD 1.5 billion.
  • Advising the Olayan Saudi Holdings Company in relation to a joint venture with Cummins for the distribution and provision of after sales services relation to Cummins' products in Saudi Arabia, the UAE and Kuwait.
  • Advising The National Shipping Company of Saudi Arabia (Bahri) on its USD 1.3 billion acquisition of the business and the vessels of the Vela International Marine Limited, part of the Saudi Aramco group.
  • Advising the underwriters on the initial public offering of Abdulmohsen Al-Hokair Group For Tourism And Development Company.
  • Advised the Savola Group on its share swap transaction with Abdulkader Al Muhaidib and Sons Company.
  • Advising Morgan Stanley Saudi Arabia, NCB Capital Company and Riyad Capital on the Saudi initial public offering of Takween Advanced Industries.
  • Advising Samba Capital on the initial public offering of Dallah Healthcare Holding Company.
  • Advising Saudi Catering Company on its initial public offering.
  • Advising the Methanol Chemicals Company on its initial public offering.
  • Advising SABIC on the Saudi Kayan initial public offering.
  • Advising UITC (Budget) on its initial public offering in Saudi Arabia.

  • Advising Mondelez on its joint venture with the Olayan and Algosaibi families in Saudi Arabia.
