Benjamin Adams
Biography
Benjamin Adams is a special counsel in the Commercial Real Estate Group. He advises on structured property transactions, joint ventures and the acquisition, development, lease and sale of industrial, commercial and mixed use developments and Australia's foreign investment laws.
Benjamin is involved in property law reform and sat on the New South Wales Law Society's Property Law Committee from 2015 to 2018 and previously chaired the NSW Young Lawyer's Property Law Committee. He sits on the Baker McKenzie Sport and Social Committee, Innovation Committee and Women's Committee.

Advising on real estate aspects of the sale of the Metronode data centre business to Equinix for $1.035 billion. The complex sale of a number of 10 data centres across Australia. The sale involved resolving a significant number of complex lease and title issues arising from Metronode's structure.

Advising Canadian off-the-road tire and track maker Camso on the Australian real estate aspects of its sale to Michelin for USD $1.7 billion, including structuring and complex leasing advice.

Advising GPT on the sale of the Wollongong central shopping centre with an estimated value of $400 million, a complex and high profile matter involving four different shopping malls, complex title and leasing issues with Council.

Advising the New South Wales Government on the transfer of New South Wales disability services to the non-government sector, including providing structuring advice and implementing complex restructuring, leasing and transfer arrangements.

Advising an unlisted property fund in relation to the proposed acquisition of two high profile office towers in Chatswood, Sydney. Complex matter involved acting in relation to the joint venture arrangements, complex title leasehold title arrangements, development agreement, financing arrangements, FIRB application and negotiations in relation to the freehold.

Advising an unlisted global property fund in relation to the proposed sale of a substantial development site in Willoughby, a high profile matter involving a high profile tenant, complex title and leasing arrangements.

Advising a large unlisted Australian developer in relation to acquisition and development of a number of Sydney development sites with a combined project value exceeding $3.050 billion including advising in relation to site acquisition, drafting joint venture and development agreements, advising in relation to complex title issues and subdivision, negotiating acquisition and construction finance documents, drafting building contacts and drafting pre-sale contracts.

Advising the real estate division of global investment bank in relation to a large greenfield residential development near Bankstown, including drafting development agreement, put and call options, easement, licence deeds and advising in relation to complex title issues.
