• Advised on all Egyptian law aspects of Kuwait Food Company (Americana Group) KSCC's IPO and Dual Listing in Abu Dhabi Securities Exchange (ADX) and Saudi Stock Exchange (Tadawul).

• Advised the selling shareholders of Selah ElTelmeez on the sale of 56% of the share capital of the company to Egypt Education Platform S.A.E (GEMS) and the Sovereign Fund of Egypt (TSFE).

• Advised the sellers in relation to the sale of 100% stake in IDP for Chemicals S.A.E. to Chryso Saint-Gobain (France).

• Advised Sanlam Life Insurance on the acquisition of Allianz Insurance’s Egyptian assets.

• Advised the sellers on the acquisition by a well-established education fund of 76.3% stake in a high-rank university in Egypt.

• Advised the sellers of Nerhadou International for Pharmaceuticals and Nutraceuticals S.A.E. (Egypt) on its sale of a minority stake to Affirma Capital.

• Advised Gems Egypt for Education Services S.A.E. on the acquisition of 100% stake in the share capital of Egypt Learning Group for Education Services S.A.E.

• Advised Al Yassin Holding for Financial Investments in relation to the acquisition of 20% of the share capital of Ishtat for Rady-Mix Concrete S.A.E.

• Advised Gems Egypt for Education Services on the acquisition of 100% of the shares of Hayah International Academy, the owner of Hayah IB licensed school in Egypt.

• Advised a consortium of Ezdehar Egypt Mid-Cap Fund Cooperatief U.A. and Nederlandse FinancieringsMaatschappij voor Ontwikkelingslanden N.V. (FMO) on acquiring a minority stake in Eagle Chemicals Group.

• Advised Cairo Three A for International Industries S.A.E. (Egypt) on the acquisition of 100% of the issued capital of Egyptian Company for Starch and Glucose Industries S.A.E.

• Advised on the acquisition of Dsquares LLC, an Egyptian company, by Lorax Capital Partners, an equity firm controlled by Egyptian American Enterprise Fund.

• Advised GEMS Egypt for Education Services on the acquisition of a majority stake in Option Travel S.A.E.

• Advised Ezdehar Egypt Mid-Cap Fund Coöperatief U.A. on the acquisition of Rich Food for Food Industries S.A.E.

• Advised Ekuity Holding, the investment arm of Kuwait Investment Authority, on the acquisition of a minority stake in Nile Aluminium and Metals Company (AluNile), from Ezdehar Egypt Mid-Cap Fund Coöperatief U.A.

• Advised Family Corporation S.A.E. in relation to the minority acquisition by Ezdehar Egypt Mid-Cap Fund Coöperatief U.A.

• Advised Chimera Investments LLC on the acquisition of Al Hashemeya for Land Reclamation and Cultivation S.A.E. owned by Americana Group affiliates.
