Baker McKenzie advised MOL Group in completing the acquisition of OMV Slovenia

Baker McKenzie assisted MOL Group in completing its acquisition together with INA of a 92.25 % stake in OMV Slovenia in a transaction valued at EUR 311 million. The acquisition expands MOL’s network in Slovenia to more than 170 filling stations. The merged entity will divest 39 Slovenian filling stations to Shell, in line with the remedy offered to secure merger clearance from the European Commission. The European Commission approved the merger in May 2023.
The M&A transaction was led by partner Ákos Fehérváry and Dániel Orosz supported by Noemi Kalmár, Ladislav Bulajcsik and Edmund-Philipp Schuster while Márton Horányi and Zoltán Barakonyi worked on the complex merger control clearance process before the European Commission. Slovenian law firm RPPP led by Gregor Pajek supported the transaction on the Slovenian law aspects.
