Biography

Dr. Alexander Blaeser is a partner in Baker McKenzie's Zurich office and a member of the Firm's Mergers & Acquisition and Banking & Finance practice groups. Before joining the Firm in April 2013 as an associate, he worked for two years as a law clerk in another major Zurich law firm and was admitted to the Zurich bar in 2013. Dr. Blaeser graduated from the University of St. Gallen law school in 2008 and obtained a doctoral degree (Dr. iur.) from the University of St. Gallen in 2011 for his doctorate thesis on the rules regarding interest in the Swiss Code of Obligations. Together with Lukas Glanzmann, Alexander Blaeser wrote a commentary on the rules regarding the approval of executive compensation (articles 18, 19 and 31, para. 2 and 3) of the Swiss ordinance against excessive compensation in listed companies

Practice Focus

Dr. Blaeser has broad experience in mergers & acquisitions and private equity transactions, corporate law matters, debt financing transactions and corporate reorganizations. He routinely advises Swiss and international clients, including private and listed companies, on domestic and cross-border transactions (both sell and buy-side), general corporate and commercial matters, executive compensation, loans and credit facilities, corporate restructurings as well as areas of law ancillary thereto. Alexander Blaeser further is a member of the Firm's IMT and Financial Institutions industry focus groups. He is admitted to practice in Switzerland.

  • Advised Arbonia on the sale of its climate division for EUR 760 million to Midea Group.

  • Advised a listed US company on a staggered equity investment in a Swiss MedTech company.

  • Advised a Swiss producer of natural cosmetics and medical products on its management buyout.

  • Advised Swiss SaaS (software-as-a-service) startup Avrios International AG and its shareholders on the sale of all equity interests to US investor Battery Ventures.

  • Advised Shell on its acquisition of the PANOLIN Environmentally Considerate Lubricants (ECLs) business from the PANOLIN Group.

  • Advised Helvetica Capital AG and its Swiss Entrepreneur Investors in an acquisition to become the majority shareholders of the Swiss Schulthess Group.

  • Advised owners of ARGO-HYTOS Group in the sale of 79.5% of their shares to Voith Group.

  • Advised Datwyler in the acquisition of QSR Group.

  • Advised Vontobel on the acquisition of UBS Swiss Financial Advisers AG.

  • Advised Bächler + Güttinger on its acquisition of Hasler Gartenbau and its its merger with Menétrey SA, Egger SA and Berger Roman AG.

  • Advised Patrimonium on the acquisition of a majority stake in Bächler + Güttinger AG.

  • Advised global transport and logistics group Kühne+Nagel on its acquisition of Apex International Corporation (Apex) from private equity firm MBK Partners and management.
