Biography

Janet Kim focuses on outbound trade compliance issues that arise under US economic sanctions, export control laws, investment restrictions, antiboycott regulations, anti-money laundering laws and the Foreign Corrupt Practices Act. She represents and advises US and non-US companies in criminal and regulatory proceedings, internal investigations, and compliance audits relating to these areas of law. She also advises on the extraterritorial application of these laws in cross-border transactions, including mergers and acquisitions, joint venture arrangements, and other international commercial activities. Her practice includes the development and implementation of workable, risk-based internal compliance programs and procedures for companies in a wide range of industries. Janet currently serves on the Steering Committee of the Firm’s International Commercial Practice Group and has been with the Washington, DC office since 1994.

Representative Legal Matters

  • Represented global financial services corporation in government enforcement proceedings concerning economic sanctions and corruption-related matters.

  • Represented global healthcare services corporation in internal investigations on corruption-related matters.

  • Represented global engineering, procurement and construction company on economic sanctions, export control and anti-corruption matters in negotiating and establishing a joint venture with a state-owned corporation.

  • Advised global financial services corporations, payment solutions providers and online service providers on compliance matters related to the evolving US economic sanctions against Iran, Cuba, Crimea and Myanmar, as well as the sectoral sanctions imposed against Russian entities.

  • Advised issuers on anti-corruption issues in majority- and minority-controlled joint venture transactions in Asia. Conducted due diligence, negotiated compliance-related deal terms that were tailored to the risks presented, and developed risk mitigation strategies.

  • Advised on M&A anti-corruption, export control, trade sanctions and anti-boycott due diligence reviews of target companies in Europe, Latin America, Asia, in collaboration with the Firm's M&A attorneys in multiple jurisdictions. Counseled on corrective measures, privilege issues during the pre-closing period, post-signing/pre-closing safeguards and post-closing compliance integration issues.

  • Acted as global anti-corruption compliance counsel for companies under investigation by multiple governments, advising on global compliance framework issues and remediation. Worked hand-in-hand with legal, compliance, finance and internal audit departments of these companies to ensure effective implementation within senior management and global business units. Coordinated global teams comprised of the Firm's compliance attorneys in multiple jurisdictions and also managed collateral legal issues (data privacy, works council consultations, blocking laws).

  • Conducted internal investigations on anti-corruption, export control and trade sanctions matters for medical device, pharmaceutical, biotechnology, oil and gas, information technology, industrial equipment and financial services companies.
