Biography

Andre heads the Corporate, Commercial & Securities and Competition Practice Group of Wong & Partners, and the regional mergers & acquisitions (M&A) practice of Baker McKenzie's Asian offices. His practice covers mergers and acquisitions, corporate securities, venture capital and private equity, and competition.

Andre is recognised in the leading legal directories including Chambers and Legal 500, and has published numerous articles in leading business publications in relation to corporate and competition law. He has also worked in the Singapore and London offices of Baker & McKenzie International.

Practice Focus

Andre has undertaken numerous transactions relating to placements, M&As, divestitures, spin-offs, takeovers, joint ventures (JV) and other business combinations (both local and cross-border). He has represented clients in a number of high profile public company transactions on mandatory general offers, selective capital reductions, privatisations and rights issues. Andre has also acted on numerous M&As involving auction sales, representing both bidders and vendors, across the banking, insurance, oil & gas, chemicals and manufacturing sectors.

Representative Legal Matters

  • Advised Liberty International Holdings Inc. and its Malaysian licensed general insurer, Liberty Insurance Berhad (LIB), on LIB’s acquisition of AmGeneral Insurance Berhad (“AmGen”). Post-acquisition, AmGen will be merged with LIB through a scheme of transfer of business. The part cash part share deal resulted in Liberty acquiring a 70% majority stake in the LIB-AmGen combined business. The combined businesses of LIB and AmGen are expected to create the largest motor insurer, and second largest property and casualty insurer, in Malaysia.

  • Acted for Great Eastern Life Assurance (Malaysia) Berhad and Great Eastern Takaful Berhad in respect of the proposed MYR 1.121 billion acquisition of shares in AmMetLife Insurance Berhad and AmMetTakaful Berhad. We further advised on the terms of the bancassurance and bancatakaful partnership between (i) AmMetLife Insurance and AmBank (M) Berhad; and (ii) AmMetTakaful Berhad, AmBank (M) Berhad and AmBank Islamic Berhad.

  • Advised Sime Darby Property Berhad (SDP) on the establishment of a joint venture between SDP and LOGOS to establish and jointly manage Sime Darby Property - LOGOS Property Industrial Development Fund 1 (Fund); and the formation of the Fund. The fund is a RM 850 million Shariah compliant private equity real estate fund which will invest in industrial and logistics development projects in Malaysia, with a seed portfolio of assets located in the Bandar Bukit Raja Industrial Gateway, a region marked to become Malaysia's state-of-the-art supply chain hub.

  • Advised McDonald's Corporation (McDonald's) on the transfer of its ownership in its Malaysian subsidiary, Golden Arches Restaurants Sdn Bhd (GARSB), to Lionhorn Pte. Ltd. (Lionhorn). GARSB is the holder of the franchise rights of McDonald's restaurants in Malaysia. Our advice included the conduct of a pre-transaction restructuring of GARSB, the conduct of a vendor due diligence on GARSB and its subsidiary, and advising on the share purchase agreement, and the Franchise Agreement between Lionhorn and McDonald's. This transaction was awarded M&A Deal of the Year (Premium) and Malaysia Deal of the Year at the ALB Malaysia Law Awards 2017.

  • Advised KKR, a global investment firm, in relation to its acquisition of a minority stake in Taylor's Schools from the Taylor's Education Group (TEG). Taylor’s Schools owns and operates six award-winning international schools in the K-12 sector of the education system – Garden International School, Nexus International School Singapore, Nexus International School Malaysia, Australian International School Malaysia, Taylor’s International School Kuala Lumpur, and Taylor’s International School Puchong.

  • Advised Touch 'N Go Sdn Bhd (TNG), a subsidiary of the CIMB group, on its entry into a joint venture with the Ant Financial Services Group (Ant Financial), the parent company of Alipay. The JV represents Ant Financial's first equity investment into Malaysia. The JV led to the creation of a world class financial services platform and payments provider which is expected to revolutionize the financial services industry in Malaysia, and in particular, domestic and cross border payments. TNG is Malaysia's largest electronic payment system operator, and Alipay is the world's leading digital financial services provider headquartered in China.
